RULES OF KIRBY GARDENING CLUB
AS AMENDED AT THE A.G.M. SEPTEMBER 2003

  1. The Club should be called 'The Kirby Gardening Club" with membership open to anyone.
  2. The aim of the Club is to encourage an interest in gardening.
  3. The officers of the club shall consist of Honorary Secretary and Honorary Treasurer who shall be elected each year at the AGM.
  4. The Club shall be managed by a Committee which shall consist of the officers and up to 8 members to be elected at the A.G.M. and shall serve for a period of one year. All Committee members shall retire each year, but shall be eligible for re-election.
  5. The Committee shall elect its own Chairman, and have the power to co-opt additional Members from within the Membership. A quorum shall be five.
  6. The A.G.M. shall be held in September or October each year. A quorum shall be ten.
  7. Voting at the A.G.M. to be by show of hands, unless the Chairman directs otherwise.
  8. Membership subscriptions for each year shall be approved by the A.G.M. and will be payable on the first of January in each year.
  9. The funds of the Club shall be deposited at a Bank or Building Society.
  10. The financial year of the club runs from 1st September to 31st August. The accounts of the Club shall be prepared by the Treasurer annually and shall be submitted to audit by the duly appointed Auditor.
  11. The Annual Statement of Account shall be presented for approval at the A.G.M.
  12. No alterations or additions to these Rules may be made except by Resolution carried by two thirds of those present and voting at the A.G.M. provided 28 days clear Notice has been given to the Secretary in writing.
  13. An Extraordinary General Meeting may be called at the request of 10 Members, who shall give their reason in writing to the Secretary, giving 28 days notice.
  14. To elect a President for the ensuing year to take office in May of each year.
  15. In the event of the club ceasing to function, then after a period of three years has elapsed from holding of the last A.G.M., any remaining assets of the club to be passed as a donation to a local registered charity.
